How do I act digitally for an organisation being dissolved?

A trustee in bankruptcy, liquidator, administrator, or other authorised representative can act digitally on behalf of a dissolving organisation by re-entering into a connection agreement with MitID Erhverv.

Definition of an organisation undergoing dissolution

An organisation is regarded as undergoing dissolution if its status in the CVR (Central Business Register) changes from active/normal to one of the following:

• Compulsory dissolution
• Bankruptcy
• Administration
• Resumption
• Voluntary liquidation

How to re-enter into a connection agreement

1. Gather documentation confirming your role as a liquidator, trustee in bankruptcy, or management administrator

Before starting the re-entering process, you must prepare documentation verifying your role as an authorised representative. Choose your role to view the required documentation:

Trustee in bankruptcy or administrator

• Certificate of appointment issued by the Probate Court

Liquidator for an organisation with the status of compulsory dissolution or resumption

• Certificate of appointment issued by the Probate Court

Liquidator or management representative for an organisation in voluntary liquidation

As a liquidator, you must provide one of the following 2 documents:

• Minutes from the most recent general meeting
• Minutes from the founding general meeting

As an management representative, you must have one of the following three documents:

• Minutes from the most recent general meeting
• Minutes from the founding general meeting
